• Contractual Relationship

Before using the Service, you acknowledge that you have carefully read, fully understood, and agree to and accept all of the clauses of this Agreement (if you are a minor, you must read all of the clauses of this Agreement with the assistance of your legal guardian). If you do not agree to all of the clauses of this Agreement, you have the full right to terminate your use of the Service. By using the Service, you are deemed to have read and accepted this Agreement.

• Acceptance of Terms

By accessing or using the Hishabee Paikari Product, you agree to abide by these Terms and any additional terms and conditions that may apply to specific features or services within the Product. If you do not agree to these Terms, please refrain from using the Product.

• Description of Services

Hishabee Paikari provides a range of services, including but not limited to:

• Inventory Management
• Analytics and Reporting
• Order Management
• Cashflow Management
• Party Management
• Marketplace Integration
• Seamless Integration with Hishabee Retail
• Credit Rating
• Short-Term Financing

These services are collectively referred to as the “Services.”

•  User Registration

To access and use the Services, you are required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

• Payment and Fees

Certain Services may be subject to fees. By using such Services, you agree to pay the applicable fees as specified in the pricing and payment terms provided by Hishabee. Fees are non-refundable except as expressly stated in our refund policy.

•  Use of the Product

You agree to use the Product and its Services in compliance with all applicable laws and regulations. You will not engage in any activity that:

• Violates these Terms
• Infringes on the intellectual property rights of others
• Harasses, abuses, or threatens other users
• Attempts to gain unauthorized access to the Product or its data
• Contains any harmful or malicious code or content

• Termination

Hishabee Paikari reserves the right to suspend, terminate, or restrict your access to the Product or its Services at our discretion, with or without notice, for any reason, including, but not limited to, your violation of these Terms.

Hishabee Paikari reserves the right to modify or update these Terms at any time, and such changes will be effective upon posting. • Governing Law

These Terms are governed by and construed in accordance with the laws of Bangladesh Government, without regard to its conflict of law principles.

By using the Hishabee Paikari Product, you agree to these Terms of Use. If you do not agree to these Terms or any subsequent modifications, please discontinue your use of the Product.

• Intellectual Property Rights

All content, features, and functionality available through the Hishabee Paikari Product are owned by Hishabee,. and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Product without our prior written consent.

•  User Content

You may have the opportunity to submit, upload, or post content, including but not limited to data, text, images, or other materials (collectively, “User Content”) to the Product. By submitting User Content, you grant Hishabee a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, distribute, publish, publicly perform, and display such User Content for the purpose of providing the Services and improving the Product.

You are solely responsible for the accuracy, legality, and appropriateness of User Content. Hishabee Paikari reserves the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

• Third-Party Links and Services

The Product may contain links to third-party websites or services that are not owned or controlled by Hishabee Paikari. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with such third parties are solely between you and those third parties.

•  Disclaimer of Warranties

The Hishabee Paikari Product is provided “as is” and “as available” without warranties of any kind, either expressed or implied. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the Product or the Services. Your use of the Product is at your own risk.

• Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Hishabee, Inc. or its affiliates, directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from 

• your use or inability to use the Product; 
• Any unauthorized access to or use of our servers and/or any personal information stored therein; 
• Any interruption or cessation of transmission to or from the Product; 
• Any bugs, viruses, Trojan horses, or the like that may be transmitted to or through the Product; 
• Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Product, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage.

•  Indemnification

You agree to defend, indemnify, and hold harmless Hishabee Paikari. and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Product.

• Entire Agreement

These Terms constitute the entire agreement between you and Hishabee  Paikari regarding the use of the Hishabee Paikari Product and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

• Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

• Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Hishabee Paikari to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
